Wholesale Terms & Conditions
Effective Date: April 2, 2026
By applying for and using a wholesale account with Blue Line Research, you agree to the following Terms & Conditions:
1. Research Use Only (Resale Requirement)
All products sold by Blue Line Research are strictly for laboratory research purposes only.
By purchasing from Blue Line Research, you agree that:
- You will only sell and distribute the products to qualified researchers or research institutions
- You will clearly communicate to your customers that the products are not for human or animal consumption, and not for medical, diagnostic, or therapeutic use
- You will not market, label, or position the products for human use, ingestion, or clinical application
You are solely responsible for ensuring that your customers understand and comply with these restrictions.
Account Notice: Failure to comply may result in immediate termination of your wholesale account and may lead to further action as permitted by law.
2. Nature of Relationship
Blue Line Research operates solely as a distributor, sourcing partner, and fulfillment facilitator.
- We do not manufacture, compound, or develop products
- All products are sourced from independent third-party manufacturers
- Product specifications are based on manufacturer-provided documentation, including Certificates of Analysis (COAs)
Nothing in these Terms creates any partnership, joint venture, or agency relationship.
3. Ordering & Fulfillment
- Orders must include product specifications, quantities, and delivery instructions
- Fulfillment is coordinated through third-party manufacturing and logistics partners
- Shipping is arranged by Blue Line Research unless otherwise agreed
- All delivery timelines are estimates only and not guaranteed
4. Product Use & Compliance
You agree that:
- Products are for laboratory research use only
- Products are not for human or animal consumption
- You assume full responsibility for use, handling, storage, and resale
- You will comply with all applicable laws, regulations, and industry standards in your jurisdiction
5. Pricing & Payment Terms
All orders require full payment prior to processing, unless otherwise agreed in writing. All payments are final and non-reversible. Unauthorized chargebacks or disputes constitute a material breach.
Bulk Pricing: Wholesale pricing may be based on agreed volume commitments. Failure to meet volume thresholds may result in pricing adjustments.
6. No Refund / Final Sale Policy
All sales are final
No refunds, returns, or cancellations once an order has been processed.
Exception (Verified Issues)
If there is verified damage, incorrect shipment, or confirmed product non-conformance:
- Claims must be supported by testing from an ISO/IEC 17025 accredited laboratory
- Blue Line Research may, at its discretion: Provide replacement, Issue a refund, or Conduct independent verification
- We may require: Return of products, Batch verification, or certified destruction with proof
Return shipping costs are the responsibility of the buyer unless the claim is approved.
7. Product Quality & Third-Party Supply
Products are sourced from third-party manufacturers. COAs may be available upon request. Blue Line Research does not independently manufacture or test each batch. All products are provided “as is”, based on supplier documentation.
You are responsible for conducting any independent testing or verification.
8. Limited Warranty
We warrant only that products match the identity and purity specifications stated in the manufacturer-provided COA at the time of shipment. All other warranties are disclaimed to the fullest extent permitted by law.
9. Limitation of Liability
To the maximum extent permitted by law, Blue Line Research shall not be liable for indirect, incidental, or consequential damages. Total liability is limited to the amount paid for the specific order. Liability applies only in cases of proven gross negligence or willful misconduct.
10. Indemnification
You agree to indemnify, defend, and hold harmless Blue Line Research from any claims arising from your use, resale, or distribution of products; violation of laws; misrepresentation; or importation actions in your jurisdiction.
11. Shipping, Risk & Customs
Risk transfers upon shipment. You are responsible for customs clearance, duties, taxes, and regulatory compliance. We are not responsible for delays or seizures except in cases of proven documentation error by us.
12. Claims & Acceptance of Goods
You must notify us of any delivery issues within 3–5 days of receipt. All products must be inspected within seventy-two (72) hours of delivery. Failure to report issues within this timeframe constitutes full acceptance.
13. Confidentiality
You agree to keep all non-public business information confidential, including pricing, supplier relationships, and operational processes.
14. Term & Termination
These Terms remain in effect until terminated. Either party may terminate with 30 days notice. We may terminate immediately for non-payment, chargebacks, or breach.
